Terms of Service

1. Introduction

By accessing or using the TidalAI platform, you agree to these Terms of Service. These terms constitute a legally binding agreement between you and TidalAI Technologies Inc. If you do not agree to these terms, you may not access or use our platform.

2. Nature of Services

TidalAI operates as a technology platform providing intelligent business automation services to small and medium-sized businesses. Our platform delivers AI-powered tools including websites, voice receptionists, chatbots, bookkeeping, SEO, social media management, lead generation, and custom workflow automations. All services are configured and maintained by TidalAI's team on behalf of the client.

3. User Accounts

To use TidalAI's services, you must:

  • ✓Be at least 18 years of age
  • ✓Provide accurate and complete registration information
  • ✓Maintain the confidentiality of your login credentials
  • ✓Be authorized to act on behalf of the business you register

You are responsible for all activity that occurs under your account. Notify us immediately at hello@tidalai.net if you suspect unauthorized access.

4. Client Responsibilities

As a TidalAI client, you agree to:

  • ✓Provide accurate business information for service configuration
  • ✓Ensure content provided for your website, social media, and marketing complies with applicable laws
  • ✓Not use TidalAI services for unlawful, fraudulent, or harmful purposes
  • ✓Maintain valid payment information for subscription billing
  • ✓Comply with all applicable local, provincial, and federal laws

5. Payments

Payments are processed securely through Stripe. Subscription fees are billed monthly. One-time setup fees, if any, are charged at the start of service.

All fees are disclosed during the booking and onboarding process. Prices are in Canadian dollars (CAD); any other fees are disclosed at signup.

Refunds are subject to our cancellation and dispute policies. New subscriptions begin with a 14-day free trial; no charge is made until the trial ends. Cancellations stop billing at the end of the current billing cycle.

Voice usage beyond plan limits is billed at $0.30/min.

6. Intellectual Property

The TidalAI platform, including all software, AI models, workflows, designs, and documentation, is the intellectual property of TidalAI Technologies Inc.

Content created specifically for your business (website copy, social media posts, marketing materials) is owned by you. You grant TidalAI a license to host, display, and distribute this content as necessary to deliver services.

You may not copy, modify, reverse-engineer, or resell any part of the TidalAI platform without written permission.

7. Non-Circumvention

Clients may not bypass the TidalAI platform to directly engage TidalAI's third-party service providers, contractors, or technology partners for the purpose of replicating services offered by TidalAI. This restriction applies during active service and for 12 months following the last use of TidalAI services. Violations may result in account suspension and liquidated damages.

8. Limitation of Liability

TidalAI provides intelligent automation tools on an "as is" and "as available" basis. We do not guarantee uninterrupted service, specific business outcomes, or revenue results.

TidalAI is not liable for:

  • ✓Business decisions made based on AI-generated content or recommendations
  • ✓Third-party service outages (Google, Stripe, telephony providers)
  • ✓Loss of revenue, data, or business opportunities
  • ✓Indirect, incidental, or consequential damages

Our total liability is capped at the amount you have paid to TidalAI in the 12 months preceding the claim, to the maximum extent permitted by law.

AI Photo Estimator

The AI Photo Estimator generates draft estimates based on photos taken by your crew at a job site. These drafts are preliminary scope and pricing suggestions only and are stamped "DRAFT — verify before sending." You are responsible for reviewing every AI-generated estimate against the actual scope, regional pricing, and applicable surcharges before delivering a quote to a customer or commencing work. TidalAI does not warrant the accuracy of AI estimates and disclaims liability for under-scoped or under-priced work resulting from unreviewed AI output. Photos uploaded for estimation are stored in TidalAI infrastructure and used solely to produce your estimate; converted-estimate photos are retained indefinitely as part of your CRM record, and discarded estimates are purged after 30 days.

9. Dispute Resolution

Any disputes arising from these Terms or your use of TidalAI shall be resolved through binding arbitration in Halifax, Nova Scotia, under Canadian Arbitration rules.

Both parties waive the right to participate in class action lawsuits or class-wide arbitration.

Before initiating arbitration, both parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days by contacting hello@tidalai.net.

10. Termination

You may cancel your subscription at any time. Services will continue until the end of the current billing period.

TidalAI reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or fail to maintain payment.

Upon termination, your data will be retained according to our Privacy Policy retention schedule. You may request data export before account closure.

11. Changes to These Terms

TidalAI may update these Terms of Service at any time. Changes will be communicated via email and updated on this page with a revised effective date. Continued use of the platform after changes constitutes acceptance of the revised terms.
